Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
As mandated by the charter of the Compensation Committee (the “Committee”) of the Board of Directors of Tasty Baking Company (the “Company”), on December 14, 2006 the following actions of the Committee were reviewed and ratified by the Board of Directors of the Company:

Base Salaries. An increase in base salary of the following executive officers of the Company was approved:

Robert V. Brown
 VP- Route Sales $170,000
Christopher J. Rahey
 VP- Direct Sales $170,000
 
These base salaries will become effective on December 18, 2006.
