Thermo Fisher Scientific Prices Offering of USD-Denominated Senior Notes

Thermo Fisher Scientific Inc. (NYSE: TMO) (“Thermo Fisher”) announced today that it has priced an offering of $2.95 billion aggregate principal amount (the “Offering”) of the following notes, each issued at par:

  • $600 million aggregate principal amount of its 4.953% senior notes due 2026 (the “2026 notes”);
  • $750 million aggregate principal amount of its 4.977% senior notes due 2030 (the “2030 notes”);
  • $1 billion aggregate principal amount of its 5.086% senior notes due 2033 (the “2033 notes”); and
  • $600 million aggregate principal amount of its 5.404% senior notes due 2043 (the “2043 notes” and, together with the 2026 notes, the 2030 notes and the 2033 notes, the “notes”).

The Offering is expected to close on or about August 10, 2023, subject to customary closing conditions. The notes will pay interest on a semi-annual basis.

Thermo Fisher intends to use the net proceeds from the sale of the notes to redeem all of the outstanding $500 million aggregate principal amount of its Floating Rate Senior Notes due 2023 that mature on October 18, 2023 and all of the outstanding $500 million aggregate principal amount of its Floating Rate Senior Notes due 2024 that mature on October 18, 2024 and to pay accrued interest, fees and expenses associated with the redemption. Thermo Fisher intends to use any remaining net proceeds from the sale of the notes for general corporate purposes, which may include the acquisition of companies or businesses, repayment and refinancing of debt, working capital and capital expenditures or the repurchase of its outstanding equity securities or it may temporarily invest the net proceeds in short-term, liquid investments until they are used for their ultimate purpose.
