This Amendment No. 4 to the Tender Offer Statement on Schedule TO (this “Amendment”) is filed by (i) 3DS Acquisition Corp., a Delaware corporation (“Purchaser”) and a wholly owned direct subsidiary of Dassault Systemes Americas Corp., a Delaware corporation (“Parent”) and a wholly owned indirect subsidiary of Dassault Systèmes SA, a French corporation with limited liability (“Dassault Systèmes SA”); (ii) Parent and (iii) Dassault Systèmes SA. This Amendment amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on February 13, 2014 (together with any amendments and supplements thereto, the “Schedule TO”), and relates to the offer by Purchaser to purchase all of the issued and outstanding shares of common stock, par value $0.0001 per share (“Shares”), of Accelrys, Inc. (“Accelrys”), a Delaware corporation, at a price of $12.50 per Share, net to the seller in cash, without interest and subject to any required withholding of taxes, upon the terms and subject to the conditions set forth in the Offer to Purchase dated February 13, 2014 (together with any amendments and supplements thereto, the “Offer to Purchase”), and in the related Letter of Transmittal.
Capitalized terms used and not defined herein shall have the meanings assigned to such terms in the Offer to Purchase.
Item 11. Additional Information.
Item 11 of the Schedule TO is hereby amended and supplemented by adding the following text thereto:
“On February 21, 2014, a putative class action lawsuit (Roberta Feinstein v. Accelrys, Inc., et al., Case No. 9382-) was filed in the Court of Chancery of the State of Delaware, against Accelrys, each member of the Accelrys Board, Dassault Systèmes SA, Parent and Purchaser. The plaintiff, Roberta Feinstein, claims to be a stockholder of Accelrys, and purports to be acting on her own behalf and on behalf of Accelrys’ stockholders. The complaint alleges that Accelrys’ directors breached their fiduciary duties to Accelrys’ stockholders in connection with the proposed sale of Accelrys to Parent by approving the Merger Agreement following an allegedly flawed sale process that failed to maximize shareholder value, by accepting allegedly unfair and inadequate consideration, by agreeing to unfair deal protection devices in the Merger Agreement and by misrepresenting or not disclosing material information necessary for Accelrys’ stockholders to decide whether to tender their Shares pursuant to the Offer or seek appraisal in Accelrys’ Recommendation Statement on Schedule 14D-9. Further, the complaint alleges that the other defendants aided and abetted these alleged breaches of fiduciary duty. The action seeks equitable relief, including an injunction to prevent the defendants from consummating the Transactions and the imposition of a constructive trust, damages and recovery of costs and attorneys’ and experts’ fees, among other remedies. Accelrys, the Accelrys Board, Dassault Systèmes SA, Parent and Purchaser believe the respective allegations against them in the complaint are without merit and intend to vigorously defend against these claims.”
