Item 8.01. Other Events.
     In March 2006, Dana Corporation (Dana) and forty of its domestic subsidiaries (collectively, the Debtors) filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Southern District of New York (the Bankruptcy Court). The Debtors’ Chapter 11 cases have been consolidated for procedural purposes under the caption In re Dana Corporation, et al., Case No. 06-10354 (BRL) and are being administered jointly.
     Dana anticipates filing its Annual Report on Form 10-K for the fiscal year ended December 31, 2006 (the 2006 Form 10-K), on or before March 16, 2007. In light of the steps necessary for Dana to close the 2006 year-end audit, the United States Trustee for the Southern District of New York has agreed to allow the Debtors an extension to file their Monthly Operating Reports for the months of December 2006 and January 2007 until 10 business days after the filing of the 2006 Form 10-K. The Debtors will continue to file monthly Disbursement Schedules with the Bankruptcy Court during this extension.
