ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
     On June 8, 2006, AutoZone, Inc. (the “Company”) entered into an Underwriting Agreement, as supplemented by the Terms Agreement dated June 8, 2006 (as so supplemented, the “Underwriting Agreement”), among the Company and Merrill Lynch, Pierce, Fenner & Smith Incorporated and J.P. Morgan Securities Inc., as representatives of the underwriters named in the Underwriting Agreement (the “Underwriters”), whereby the Company agreed to sell and the Underwriters agreed to purchase, subject to and upon terms and conditions set forth therein, $200 million aggregate principal amount of the Company’s 6.95% Senior Notes due 2016 (the “Notes”) under the Company’s existing shelf registration statement filed with the Securities and Exchange Commission (the “Commission”) on August 17, 2004, on Form S-3 (File No. 333-118308) (the “Registration Statement”). The Underwriting Agreement contains customary representations, warranties and agreements of the Company and customary conditions to closing, indemnification rights and obligations of the parties and termination provisions. Copies of the Underwriting Agreement and Terms Agreement are attached hereto as Exhibits 1.1 and 1.2, respectively. The foregoing summary does not purport to be complete and is qualified in its entirety by reference to the Underwriting Agreement.
     The Notes are being issued pursuant to an indenture dated as of August 8, 2003, between the Company and J.P. Morgan Trust Company, N.A., as successor in interest to Bank One Trust Company, N.A., as trustee (the “Indenture”), a copy of which is incorporated by reference in the Registration Statement as Exhibit 4.1 thereto. The Notes are represented by one or more global securities, a form of which is attached hereto as Exhibit 4.1.
