  On May 25, 2006, Total System Services, Inc. (“Registrant”) issued a press release announcing the execution of a long term agreement with Wachovia Corporation for Registrant to provide core-processing and other related services in support of Wachovia’s re-entry into the consumer credit-card line of business. The press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
