The amount of the filing fee is calculated in accordance with Section 13(e)(3) of the Securities Exchange Act of 1934, as amended, and is based on the product of (i) the approximate aggregate value of such options and SARs ($74,756,381), calculated based on the Black-Scholes option pricing model as the transaction value multiplied by (ii) $80.90 per each $1.0 million of the value of the transaction.

     This Amendment No. 5 amends and supplements the Tender Offer Statement on Schedule TO of Georgia-Pacific Corporation, filed on May 7, 2003, as amended and supplemented by Amendment No. 1 to the Schedule TO, filed on May 9, 2003, as amended and supplemented by Amendment No. 2 to the Schedule TO, filed on May 21, 2003, as amended and supplemented by Amendment No. 3 to the Schedule TO, filed on May 28, 2003, and as amended and supplemented by Amendment No. 4 to the Schedule TO, filed on June 3, 2003, relating to Georgia-Pacific’s offer to exchange certain outstanding stock options for shares of restricted stock and certain outstanding stock appreciation rights for replacement SARs. This Amendment No. 5 reports the results of the offer.

Item 4. Terms of the Transaction

     Item 4 of the Schedule TO is hereby amended to add the following sentences:

     The offer expired at 12:00 Midnight on June 4, 2003. Subject to the terms and conditions of the offer, Georgia-Pacific accepted for cancellation options to purchase approximately 9,080,000 shares of its common stock, and granted approximately 3,360,000 restricted shares of its common stock in exchange. In addition, Georgia-Pacific accepted for cancellation approximately 3,280,000 SARs for exchange, and granted approximately 2,640,000 replacement SARs in exchange. The grants of restricted stock and replacement SARs were effective June 5, 2003. Employees tendered approximately 86% of the options and SARs eligible to be exchanged under the program.
