	Item 8.01		Other Events

     On May 5, 2006, the Company paid $150,000 to Robert H. Hesse, its former interim chief executive officer and a member of its Board of Directors, as provided in a letter agreement dated as of March 1, 2006, that was signed on March 10, 2006. Mr. Hesse has released the Company from all other obligations under that letter agreement and, effective, May 5, 2006, resigned from the Company’s Board of Directors.
