Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 27, 2006, Daniel A. Marinangeli, one of the representatives of The Toronto-Dominion Bank, resigned as a director of TD AMERITRADE Holding Corporation effective November 1, 2006. The other Toronto-Dominion Bank directors have designated William H. Hatanaka for election to the board of directors of TD AMERITRADE, which is expected to occur at a special meeting of the board of directors in the near future.
