EXPLANATORY NOTE
     Tasty Baking Company (the “Company”) filed a Registration Statement on Form S-8 (No. 333-123647) (the “Registration Statement”) with the Securities and Exchange Commission on March 29, 2005. On May 24, 2011, pursuant to that certain Agreement and Plan of Merger, dated as of April 10, 2011, by and among the Company, Flowers Bakeries, LLC, a Georgia limited liability company, and Flowers Foods, Inc., a Georgia Corporation (“Flowers”), the Company will become a direct wholly-owned subsidiary of Flowers. As a result of the transactions contemplated thereby, the Company has terminated all offerings of the Company’s securities pursuant to the Registration Statement.
     This Post-Effective Amendment No. 1 to the Registration Statement is being filed to deregister, as of the effectiveness of this post-effective amendment, all unsold shares of common stock, par value $.50 per share, the sale of which was registered under the Registration Statement.
