On September 17, 2009, John Donofrio resigned as Senior Vice President and General Counsel of Visteon Corporation (the “Company”) effective as of October 2, 2009.

Item 8.01. Other Events.

On September 18, 2009, the Company announced the appointment of Michael K. Sharnas to the position of Vice President and General Counsel of the Company effective as of October 3, 2009. Previously, Mr. Sharnas was an Assistant General Counsel of the Company.
