Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

     On September 2, 2009, the compensation committee of PCA’s board of directors approved a compensation increase for Thomas A. Hassfurther, who will be promoted from Senior Vice President, Sales and Marketing, Corrugated Products to Executive Vice President, Corrugated Products on September 15, 2009. Mr. Hassfurther’s base salary will be increased from $340,000 to $460,000 per year and 2009 target incentive award percentage will be increased from 75% to 85%. Mr. Hassfurther will be awarded an additional 10,000 shares of restricted stock on September 30, 2009, all of which will vest on the fourth anniversary of the date of the award if Mr. Hassfurther remains employed by us.

     On September 4, 2009, Packaging Corporation of America announced that its Board of Directors had approved a regular quarterly cash dividend of $0.15 per share on its common stock. The quarterly dividend will be paid on October 15, 2009 to shareholders of record as of September 15, 2009.
