Item 7.01 Regulation FD Disclosure.
On July 14, 2009, Cinemark, Inc., our wholly-owned subsidiary (“Cinemark Inc.”), announced the expiration of its previously announced tender offer and consent solicitation for any and all of its 93/4% Senior Discount Notes due 2014 (the “Notes”). The tender offer and consent solicitation expired at 11:59 p.m., New York City time, on July 13, 2009 (the “Expiration Date”). Pursuant to the tender offer, Cinemark Inc. repurchased $402,458,768 aggregate principal amount at maturity, or 95.96%, of the outstanding Notes. Approximately $16,944,232 aggregate principal amount at maturity of the Notes remain outstanding as of the Expiration Date. The press release announcing the expiration of the tender offer and consent solicitation is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
