The Company has been unable to file its Form 10-Q by the due date because of
illness of a member of the Company's accounting staff which resulted in certain
documents not being completed in time to permit the timely preparation of the
Company's financial statements.

The Company expects to report a net income of approximately $800,000 for the
three months ended September 30, 2005, compared to a net income of approximately
$513,000 for the three months ended September 30, 2004.
