Item 8.01.

Other Events

      On January 28, 2005, Esterline Technologies Corporation ("Esterline") completed the sale of the outstanding stock of its wholly owned subsidiary Fluid Regulators Corporation to TransDigm Inc. for approximately $23.7 million in cash. As a result of the sale, Esterline expects to record a gain of approximately $6.3 million, net of $3.7 million in tax, in the fiscal quarter ended January 28, 2005.
