This Schedule 13G is being filed jointly by TPG Group Holdings (SBS) Advisors, Inc., a Delaware corporation (“Group Advisors”), David Bonderman and James G. Coulter (each, a “Reporting Person” and, together, the “Reporting Persons”), pursuant to an Agreement of Joint Filing incorporated by reference herein in accordance with Rule 13d-1(k)(1) under the Act.

 

Group Advisors is the general partner of TPG Group Holdings (SBS), L.P., a Delaware limited partnership, which is the sole shareholder of TPG Holdings III-A, Inc., a Cayman corporation, which is the general partner of TPG Holdings III-A, L.P., a Cayman limited partnership, which is the general partner of TPG Holdings III, L.P., a Delaware limited partnership, which is the sole shareholder of TPG GenPar VI AIV TM Advisors, Inc., a Cayman corporation, which is the general partner of TPG GenPar VI AIV TM, L.P., a Cayman limited partnership, which is the general partner of TPG TM IV-A, L.P., a Cayman limited partnership, which is the sole member of TPG TM IV, SRL, a Barbados society with restricted liability, which is the sole member of TPG TM III-2, SRL, a Barbados society with restricted liability, which is the sole shareholder of TPG TMM Holdings II GP, ULC, a British Columbia unlimited liability company, which is the general partner of TPG TMM Holdings II, L.P., a Cayman limited partnership (“TPG TMM Holdings II”), which holds 43,595,623 shares of Class B Common Stock of the Issuer and an equal number of common partnership units (the “New TMM Units”) in TMM Holdings II Limited Partnership, a Cayman limited partnership (“New TMM”). The New TMM Units, together with a corresponding number of shares of Class B Common Stock of the Issuer, may be exchanged for shares of Class A Common Stock of the Issuer on a one-for-one basis, subject to certain adjustments and according to the terms of the Exchange Agreement (the “Exchange Agreement”), dated April 9, 2013, by and among the Issuer, New TMM and certain holders of New TMM Units and shares of Class B Common Stock of the Issuer.

 

David Bonderman and James G. Coulter are officers and sole shareholders of Group Advisors and may therefore be deemed to be the beneficial owners of the securities held by TPG TMM Holdings II. Messrs. Bonderman and Coulter disclaim beneficial ownership of such securities except to the extent of their pecuniary interest therein.

TPG TMM Holdings II entered into a Stockholders Agreement (the “Stockholders Agreement”), dated as of April 9, 2013, with the Issuer and certain other stockholder parties thereto (the “Holders”). Pursuant to the Stockholders Agreement, TPG TMM Holdings II and the Holders have agreed, among other things, to vote their shares of Class B Common Stock of the Issuer to elect members of the Board of the Directors of the Issuer as set forth therein.

Because of the relationship between TPG TMM Holdings II and the Holders as a result of the Stockholders Agreement, the Reporting Persons may be deemed, pursuant to Rule 13d-3 under the Act, to beneficially own 87,191,246 shares of Class A Common Stock of the Issuer, which represents the number of shares of Class A Common Stock that would be received in the aggregate by TPG TMM Holdings II and the Holders upon exchange of all of the shares of Class B Common Stock of the Issuer and New TMM Units directly held by TPG TMM Holdings II and the Holders. 87,191,246 shares of Class A Common Stock represents 72.6% of the total number of outstanding shares of Class A Common Stock of the Issuer (based on a total of 120,049,046 shares of Class A Common Stock outstanding, which includes (i) 32,857,800 shares of Class A Common Stock outstanding as of November 13, 2013 as reported in the Issuer’s Quarterly Report on Form 10-Q filed with the Commission on November 13, 2013, and (ii) 87,191,246 shares of Class A Common Stock that are issuable in exchange for the 87,191,246 shares of Class B Common Stock of the Issuer and corresponding New TMM Units held in the aggregate by TPG TMM Holdings II and the Holders).
