Carol S. Eicher was elected to the Company’s board of directors effective August 19, 2008. Ms. Eicher joined the class of directors whose terms expire at the 2011 annual meeting of shareholders. Ms. Eicher was appointed to serve as a member of the Audit Committee and the Executive Committee of the board of directors. A copy of the press release announcing Ms. Eicher’s election to the board of directors is attached as Exhibit 99 and is incorporated herein by reference.
Ms. Eicher will receive the standard non-employee director compensation, the terms of which have previously been disclosed.
