         On April 22, 2005, St. Mary Land & Exploration issued a press
release announcing a regular semi-annual five cent per share cash dividend to be
paid on May 16, 2005 to stock holders of record as of the close of business on
May 6, 2005. A copy of the press release is furnished as Exhibit 99.1 to this
report.
