(1) | The initial grant of an option for 62,250 shares on 5/18/06 was only valid with respect to 50,000 shares due to the annual limitation on the number of shares subject to an option that can be granted to an individual under the Corporation's 2004 Stock Incentive Plan (the "Plan"). The Corporation and the Reporting Person have entered into an amended and restated stock option agreement in part to amend the award to comply with the Plan's option award share limit. |
