RE:                 Message to Meredith Employees

As a follow up to today’s announcement regarding our merger plans, I wanted to reach out to Meredith employees directly with a message from the Meredith family.

This is an historic and exciting day for the future of our company.  It is important for you to know that we strongly support the decision to merge with Media General. As you can imagine, we did not reach this decision lightly nor without a great deal of thought and discussion.  Clearly, the combination of our two companies gives us the scale, diversity and financial flexibility to be a powerful player in this consolidating media marketplace.  We have great confidence in the future of Meredith Media General, which is why the Meredith family is committed to remaining involved in the new company as shareholders.

While this is the right decision to make for our shareholders, we also are excited about what it means for Meredith employees and our marketing partners.  Over the years, your hard work and passion for the business has built one of the most admired and successful media companies in the world.  We have played a leading role in transforming the print and digital industry.  Now, as part of a $3 billion diversified media company, we have the potential for even greater transformational growth.  Our iconic brands, premium content, and highly prized marketing relationships, combined with Media General’s top-rated broadcasting business, will put us in a unique position to capture the upside of industry consolidation. We hope this merger brings new opportunities for growth and innovation for the entire Meredith organization.

Of course, this merger represents a change for all of us.  For 113 years, the Meredith family has served as dedicated and thoughtful custodians of Meredith and its employees.  Our mission has always been to support our brands and media assets, make decisions that are in the best long-term interests of our shareholders and our employees, and to operate with integrity and character.  We have always felt a responsibility to build a legacy of opportunity and long-term success, where future generations can pursue their ambitions and make a contribution to the world around them.  These are the fundamental values that have guided our family and our business legacy for over a century.

Part of that family legacy is a very strong commitment to giving back.  We have long believed in supporting our hometown community and carefully nurturing those cultural, educational and human services efforts that are meaningful to our family, community, and our employees.  Today’s news will not change that commitment.  I will continue to serve as Chairman of the Meredith Corporation Foundation and we will continue to support these worthy organizations.  We look forward to working with you to maintain that mission for years to come.

Words cannot express our gratitude to all of you for your ongoing commitment to Meredith and all that you have done to make us who we are today.  I have personally enjoyed working with so many of you over the years.  We remain incredibly proud of our heritage, and optimistic about our bright future.

Sincerely,

Mell
