Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As of June 1, 2016, the Board of Directors of FMC Corporation (“Company”) has elected Margareth Øvrum as a director of the Company for a term beginning on July 1, 2016. Ms. Øvrum has been appointed to the Sustainability Committee. Ms. Øvrum will be entitled to be compensated for her service as a director under our Non-Employee Directors Compensation Policy, as previously described in our filings with the Securities and Exchange Commission. A copy of the press release announcing these events is attached as Exhibit 99.1 to this Current Report on Form 8-K.
