Item 8.01.  Other Events.

In connection with his planned retirement as CEO, on December 31, 2010, and Chairman, on May 12, 2011, Richard G. Hickson, Chairman and CEO of Trustmark Corporation, has indicated that he intends to sell a portion of his holdings in Trustmark Corporation in order to diversify his holdings for estate and retirement planning purposes.  Depending on market and other conditions, Mr. Hickson plans to sell up to 100,000 shares of Trustmark Corporation common stock in periodic open-market transactions over the next 15 months.

Mr. Hickson has indicated that his decision to sell is based solely upon his need to diversify his concentration of assets in Trustmark Corporation common stock and that he continues to have full confidence in the organization and its current and future performance.
