Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain     Officers; Compensatory Arrangements of Certain Officers.

Retirement of Directors  
 
On November 11, 2008, at a regularly scheduled meeting held by the Executive Committee of the Board of Directors of Trustmark Corporation (“Trustmark”), three directors indicated their intention to retire from their positions as Directors of Trustmark upon the expiration of their current terms at Trustmark’s Annual Meeting of Shareholders to be held in May 2009.  They, and their ages at retirement, are:  Reuben V. Anderson (66), C. Gerald Garnett (64) and William G. Yates, Jr. (67).  There is no disagreement between Trustmark and Messrs. Anderson, Garnett or Yates on any matter relating to Trustmark’s operations, policies or practices, and Trustmark is grateful to these directors for their many years of dedicated service.
