ITEM 1.01.
ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On January 25, 2006, the independent directors of the Board of Directors of Dollar General Corporation (the “Company”) approved the Supplemental Executive Retirement Plan for David A. Perdue (As Restated Effective January 1, 2005) (the “SERP”). The SERP was amended for the purposes of including changes required by Section 409A of the Internal Revenue Code and to create a grantor trust in order to provide certain funding of the Company’s obligations under the SERP. A copy of the amended and restated SERP is filed as Exhibit 99 to this Current Report on Form 8-K.
