Results of Operations and Financial Condition.

On November 10, 2008, American Apparel, Inc. (the “Company”) issued a press release announcing its results of operations for the third quarter of 2008. The press release is furnished herewith as Exhibit 99.1. The information in this Item 2.02, including Exhibit 99.1, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended (the “Securities Act”), except as shall be expressly set forth by specific reference in such filing.

Regulation FD Disclosure.
 
On November 10, 2008, the Company held an earnings conference call (the “Earnings Call”) to discuss the Company’s results of operations for the third quarter of 2008. The Company inadvertently referred during the Earnings Call to an EBITDA mark for 2009; the year referred to should have been 2008. A copy of the transcript of the Earnings Call, showing the original words spoken and a clarification note, is furnished herewith as Exhibit 99.2.
