Item 8.01 Other Events.

On August 14, 2012, the Board of Directors of Lawson Products, Inc. (the "Company") voted to suspend the Company's dividends to common stockholders for the upcoming quarter. The Board of Directors will consider reinstating the quarterly dividend in future periods. Under the terms of the Loan and Security Agreement dated August 8, 2012 with The PrivateBank and Trust Company, the Company's ability to declare dividends is restricted to $0 to $1,100,000 per quarter based on meeting specific finacial targets.
