Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

The Compensation Committee engaged an outside compensation consultant to review executive compensation programs for 2007. On the basis of recommendations from the outside compensation consultant and the Compensation Committee’s assessment of 2006 performance of the Company’s executive officers, including Dean Jernigan, the Company’s President and Chief Executive Officer, the Compensation Committee authorized base salary adjustments effective January 1, 2007, and approved cash bonuses for performance in 2006 for the executive officers as set forth on Exhibit 99.1 attached to this Current Report on Form 8-K, which is incorporated herein by reference.
