Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On September 2, 2005, the Company issued a press release announcing that the Board of Directors elected Phillip A. Damaska, 50, as Vice President, Corporate Controller. Mr. Damaska succeeds Ian Harvie as the Company's Corporate Controller effective August 30, 2005. Mr. Harvie has agreed to remain with the Company through September 30, 2005.

Mr. Damaska joined the Company in January 2005 as Vice President, Finance. Prior to joining the Company, Mr. Damaska served in numerous capacities with Freudenberg-NOK from 1996 through 2004, most recently as President of Corteco, an automotive and industrial seal supplier that is part of the partnership's global group of companies.
