Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 23 2005, the Verticalnet Board of Directors appointed Director Gregory G. Schott as Chairman, succeeding Michael J. Hagan. Mr. Hagan resigned as Chairman of the Board, but retained his position as Director. A copy of the press release announcing these events is attached hereto as Exhibit 99.1
