Item 8.01. Other Events
On June 12, 2015, CECO Environmental Corp. (CECO) announced that the U.S. Federal Trade Commission (FTC) granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (the HSR Act) relating to CECOs previously announced acquisition of PMFG, Inc. (PMFG). CECO and PMFG disseminated a joint press release making such announcement, a copy of which is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
