Redemption Provisions:

At any time before February 1, 2025 (the date that is three months prior to the stated maturity of the notes) (the “Early Call Date”), the notes can be redeemed by the Issuer at a redemption price equal to the greater of: (1) 100% of the principal amount of the notes to be so redeemed; and (2) as determined by the Quotation Agent (as defined in the prospectus supplement), the sum of the present values of the remaining scheduled payments of principal and interest on the notes being redeemed to the Early Call Date discounted to the redemption date on a semi-annual basis at the Treasury Rate (as defined in the prospectus supplement), plus 25 basis points, plus, in each case, accrued and unpaid interest on the principal amount of the notes being redeemed to, but not including, the redemption date.


  At any time on or after February 1, 2025 (the date that is three months prior the stated maturity of the notes), the notes can be redeemed by the Issuer at a redemption price equal to 100% of the principal amount of the notes to be so redeemed, plus accrued and unpaid interest on the principal amount being redeemed to, but not including, the redemption date.
