The information in this pricing term sheet supplements the Issuer’s Preliminary Prospectus Supplement, dated May 27, 2014, and supersedes the information in the Preliminary Prospectus Supplement to the extent it is inconsistent with the information contained therein. The pricing term sheet is qualified in its entirety by reference to the Preliminary Prospectus Supplement. We expect to deliver the 2017 Notes and the 2024 Notes against payment for such Notes on the fifth business day following the date of the pricing of such Notes (“T+5”). Under Rule 15c6-1 of the Exchange Act, trades in the secondary market generally are required to settle in three business days, unless the parties to a trade expressly agree


   otherwise. Accordingly, purchasers who wish to trade the 2017 Notes or the 2024 Notes on the date of pricing will be required, by virtue of the fact that such Notes initially will settle in T+5, to specify alternative settlement arrangements to prevent a failed settlement.

   Notwithstanding the foregoing, if the 2024 Notes are redeemed on or after March 5, 2024 (the date that is three months prior to their maturity date), the 2024 Notes will be redeemed at a redemption price equal to 100% of the principal amount of the notes to be redeemed, plus accrued and unpaid interest to, but not including, the date of redemption.
Use of Proceeds:    We intend to use the net proceeds from this offering to repay the entire outstanding principal amount of and accrued interest on our revolving credit facility, to repay up to $550.0 million of the outstanding principal amount of our Term Loan A-4 and for general corporate purposes. In addition, we intend to call for redemption the entire $500.0 million aggregate principal amount of our 7.875% senior notes due 2020, with such redemption intended to be effective on or about July 15, 2014. We expect to use additional borrowings under our revolving credit facility and any remaining net proceeds of this offering to fund the foregoing redemption.
