Twenty-First Century Fox, Inc. (the Company) held a Special Meeting of Stockholders (the Special Meeting) on March 21, 2014. A brief description of the matter voted upon at the Special Meeting and the results of the voting on such matter is set forth below.
Proposal 1: A proposal to approve the Company making a request for removal of its full foreign listing from the Australian Securities Exchange (the ASX) passed and was voted upon as follows:

The Board of Directors of the Company elected to condition the Companys request for removal of its full foreign listing from the ASX on receipt of the affirmative vote of the holders of a majority of the outstanding shares of Class B Common Stock as of the record date for the Special Meeting, without giving effect to the suspension of voting rights of non-U.S. stockholders (the Condition to Approval). The Condition to Approval was satisfied based on the following tabulation:
