Item 2.02 Results of Operations and Financial Condition.

On November 5, 2010, American Tower Corporation (the “Company”) issued a press release announcing financial results for the third quarter ended September 30, 2010. A copy of the press release is furnished herewith as Exhibit 99.1.

Item 8.01 Other Events.

On November 5, 2010, the Company issued a press release announcing its launch of operations in South Africa and its entry into a definitive agreement to purchase from Cell C (Pty) Limited up to approximately 1,400 existing towers, and up to 1,800 additional towers that are either under construction or will be constructed over the next two to three years, for an aggregate purchase price of up to approximately $430 million. The Company expects to close the purchase of the existing towers by early 2011, subject to customary closing conditions. The Company’s press release, dated November 5, 2010, is filed herewith as Exhibit 99.2, and is incorporated by reference herein.
