On October 11, 2010, the Board of Directors adopted Restated Bylaws of the registrant. The Restated Bylaws include amendments to the registrants bylaws which permit shareholder meetings by remote communication, adopt advance notice requirements for the nomination of directors and shareholder proposals and make certain other ministerial changes to the registrants bylaws.
The advance notice provisions are in Section 9 of Article II of the registrants bylaws. These provisions require that notice of shareholder nominations of directors and shareholder proposals be given to the registrant not less than 120 days before the first anniversary of the date of the preceding years regular meeting of shareholders or, if the date of the registrants regular meeting is more than 30 days before or 60 days after such anniversary date, not less than 120 days before such regular meeting (or, if later, within 10 days after the first public announcement of the date of such meeting). The Restated Bylaws also specify the required content of such notice and specify that failure to give timely notice will result in a defective nomination or a proposal that may not be properly brought before the meeting. Section 9 of Article II does not apply to any shareholder proposal made pursuant to Rule 14a-8 promulgated under the Securities Exchange Act of 1934. A copy of the Restated Bylaws is attached as an exhibit to this filing, and is incorporated herein by reference.
