On August 31, 2006, Mattel, Inc. (the “Company”) issued a press release announcing that the Federal Trade Commission granted early termination of the waiting period imposed by the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to the Company’s proposed acquisition of Radica Games Limited and that the German Federal Cartel Office terminated the waiting period with respect to the transaction pursuant to the German Act Against Restraints of Competition, a copy of which is furnished as Exhibit 99.1 hereto.
