Item 2.02 Results of Operations and Financial Condition
On January 25, 2006, AsiaInfo Holdings, Inc. (the “Company”) reported its financial results for the fourth quarter and full fiscal year ended December 31, 2005. The press release relating to such financial results is furnished herewith as Exhibit 99.1.
Item 5.02 Departure of Directors or Principal Officers; Elections of Directors; Appointment of Principal Officers
The Company today announced that Mr. Weiying Zhang has resigned as a director of the Company as of January 24, 2006. Mr. Zhang was a member of the Compensation Committee and Nominating and Corporate Governance Committee of the Company’s Board of Directors. Mr. Zhang’s resignation was not related to any disagreement or dispute with the Company. A copy of the resignation letter from Weiying Zhang dated as of January 24, 2006 is filed as Exhibit 99.2 to this Form 8-K and incorporated herein by reference.
