Item 1.01 | Entry into a Material Definitive Agreement | |
The Amendment No. 2 and Consent to Credit Agreement was signed on July 29, 2005. This amendment and consent allowed the company to move forward with the execution of stipulations between the company and certain trade vendors. These agreements addressed the reconciliation and treatment of trade vendors reclamation claims and establishing a post-petition trade lien program. In addition, the definition of permitted dispositions was amended to allow the company to move forward with its plans to sell or liquidate certain retail store locations as described in the press release filed on Form 8-K on June 24, 2005. | ||

Winn-Dixie Stores, Inc. and its subsidiaries (the Company) is required to provide monthly operating reports to the Office of the United States Trustee for the Middle District of Florida (the U.S. Trustee) pursuant to the U.S. Trustees Operating Guidelines and Financial Reporting Requirements for Chapter 11 cases. Such reports are also filed with the bankruptcy court. On August 8, 2005, the Company filed its monthly operating report (MOR) for the four-week period from June 2, 2005 to June 29, 2005, a copy of which is furnished as Exhibit 99.1. | ||
The Company cautions readers not to place undue reliance upon the information contained in the MOR. The MOR contains financial information that has not been audited or reviewed by independent accountants and will be subject to future reconciliation and adjustments. The MOR should not be used as a basis for making investment decisions regarding the Companys securities. The MOR contains information for periods that are shorter or otherwise different from those contained in the Companys reports pursuant to the Securities Exchange Act of 1934, as amended (the Exchange Act). The information contained in the MOR may not be indicative of the Companys financial condition as of June 29, 2005 or operating results for the periods reflected in the Companys financial statements, as the MOR contains financial statements that are preliminary and do not reflect all year-end adjustments, including adjustments to inventory related to LIFO inventory valuation, adjustments to property, plant and equipment related to completion of impairment analyses, and other adjustments that may have a material impact on the financial statements.
