Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

 

(c) On September 3, 2004, NCR Corporation (the “Company”) issued a press release announcing the appointment of Peter Bocian as the Company’s Senior Vice President and Chief Financial Officer effective immediately.

 

Since October 2003, Mr. Bocian, age 49, has served as the Company’s Vice President of Finance and Interim Chief Financial Officer. Mr. Bocian served as the Chief Financial Officer of the Company’s Retail and Financial Group from January 2002 until October 2003. From 1999 to 2002, he was Chief Financial Officer and Vice President of the Retail Solutions Division. Mr. Bocian began his career with the Company in 1983 and has since held a number of positions of increasing responsibility in the areas of finance, general management and logistics.

 

Mr. Bocian was not a party to any transactions with the Company during the last fiscal year.
