On July 17, 2003, Antares Pharma, Inc. (the "Company") completed a private placement of its common stock and warrants to four investors. Specifically, the Company sold 2,000,000 shares of its common stock, par value $.01 per share, for an aggregate purchase price of $2,000,000. As part of the transaction, the Company also issued to the investors five-year warrants (the "Warrants") to purchase an aggregate of 1,500,000 shares of the Company's common stock at an exercise price of $1.25 per share. The Company granted the investors customary demand and piggyback registration rights with respect to the shares of its common stock issued and that are issuable upon exercise of the Warrants. The investors also signed lock-up agreements under which they agreed not to sell the shares of common stock issued and that are issuable upon exercise of the Warrants prior to January 1, 2004. On July 22, 2003, the Company issued a press release announcing the completion of this transaction, a copy of which is attached hereto. Item 7.
