Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
 
The Compensation Committee of the Board of Directors of the Company approved the grant of 4,700 restricted stock units to William A. Sundermeier, President Government Systems Division. On February 11, 2008, the grant was made pursuant to the Company's 2002 Stock Incentive Plan, which was previously approved by the Company,s shareholders. The restricted stock units will vest, and the underlying shares of the Company's common stock will be issued, on February 11, 2009.
