In consideration of the transfer of these assets, we have agreed pay a total of $65,000, issue 650,000 shares of our common stock, and grant incentive stock options to the vendor to acquire up to 550,000 shares of our common stock at a price of $0.10 for a period of five years to the Vendors, or their assigns. In addition, the Vendors will receive 500,000 voting shares of the subsidiary company that holds the turbine assets if that company's shares trade publicly on a recognized stock exchange or quotation system. As well, the Vendors are entitled to a royalty from us of $200 for every vertical axis wind turbine that we sell for a period of ten years.
