Dear Colleagues,

Yesterday, we announced our fourth quarter and full year results for 2018.  I wanted to thank all of you for the tremendous effort required to exceed both top- and bottom-line expectations.  With the success of 2018 behind us, and the potential for five new product launches by the end of 2020, we are truly improving the lives of patients worldwide.

As we look to the future, I believe more than ever that together with Bristol-Myers Squibb we will have improved capability and power to further advance our mission for patients.  Today we reached an important milestone in the acquisition process between Bristol-Myers Squibb and Celgene – BMS’ filing with the U.S. Securities and Exchange Commission (SEC).  This regulatory filing, called a Form S-4, contains additional information related to the acquisition including the chronology of the discussions between both companies, rationale for the deal, and other details related to the acquisition.

The filing also includes a tentative date of April 12, 2019 for the Celgene and Bristol-Myers Squibb shareholder meetings, which is the next important milestone in this process.

Since the filing is public, it is possible that there might be renewed media or other external stakeholder focus on the transaction.  It is important for you to understand that we remain confident in the strategic rationale of this transaction and the potential value creation it presents to all stakeholders, including patients.

I want to thank the Celgene Transition Team, led by Joe Hand, for their frequent communications to help provide information and context to you as we advance through the process.  You might find the new timeline of events and BMS overview deck interesting to better understand the path forward.  I encourage you to stay engaged and educated by visiting the Acquisition Update Center.  Please let us know if we can do more to keep you informed.

As always, we are counting on your focus and commitment as we embark on this new chapter in our journey to deliver for the patients we seek to serve.

Thank you,
