Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On July 25, 2013, the Company received a letter from The Nasdaq Stock Market indicating that as a result of the Company’s failure to have a minimum Market Value of Publicly Held Shares (MVPHS) of $5,000,000, the Company is not in compliance with the Nasdaq requirements for continued listing set forth in Nasdaq Marketplace Rule 5450(b)(1)(c). The Company is required to regain compliance with the MVPHS requirement not later than January 21, 2014, otherwise its shares will be subject to delisting from NASDAQ.

 

A copy of the press release regarding receipt of the letter from NASDAQ is attached hereto as Exhibit 99.1.
