Other Events
 
On June 9, 2010, Capital Gold Corporation, a Delaware corporation (“Capital”), announced (the Announcement”) that the Special Meeting of the Stockholders will be held on July 2, 2010 at 10:00 a.m. at Bayards, One Hanover Square, New York City, New York, 10004, local time. The full meeting agendas are detailed in the proxy statement/prospectus which will be mailed to all stockholders of record as of the close of business on May 3, 2010.
 
Capital also announced that the Registration Statement on Form S-4 filed by it relating to the Company’s proposed transaction with Nayarit, Inc., was declared effective by the Securities and Exchange Commission on Tuesday, June 8, 2010.
 
A copy of the Announcement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
 
The Announcement also summarizes certain financial results for the fiscal quarter ended April 30, 2010, which are set forth in Capital’s Form 10-Q for the fiscal quarter ended April 30, 2010, which was filed with the Securities and Exchange Commission on Wednesday, June 9, 2010.
