On November 25, 2009, Frederick’s of Hollywood Group Inc. issued a press release announcing the filing of a shelf registration statement on Form S-3 with the Securities and Exchange Commission.  A copy of the press release is filed as Exhibit 99.1 and is incorporated herein by reference.
