Item 2.02. Results of Operations and Financial Condition

On February 13, 2012, Fidelity National Information Services, Inc. issued an earnings release announcing its financial results for the fourth quarter and year ended December 31, 2011. The information included in Items 2.02 and 9.01 within this Current Report are being furnished and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended or otherwise subject to the liabilities of that Section. Item 8.01. Other Events

On February 7, 2012 the Board of Directors of the Company approved an increase in the quarterly dividend to $0.20 per share and authorized a share repurchase program to purchase up to $1.0 billion of FIS common stock through December 31, 2015. The new repurchase authorization replaced the existing share repurchase authorization. A copy of the press release announcing these items is attached as Exhibit 99.2.
