Item 7.01. Regulation FD Disclosure.
As previously disclosed in AECOMs prior periodic reports, in 2005 and 2006 AECOMs Australian subsidiary, AECOM Australia Pty Ltd (AECOM Australia), performed a traffic forecast assignment for a tolled motorway tunnel project in Australia that resulted in a securities class action lawsuit filed in 2012 against AECOM Australia and others in the Federal Court of Australia. The parties have agreed to a settlement made without admission and that is conditional on Federal Court approval. This conditional settlement is not expected to have a material impact to the financial results of AECOM.
The information contained in this Current Report Form 8-K that is furnished under this Item 7.01 is being furnished pursuant to Item 7.01 of Form 8-K and shall not be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended.
