Item 8.01 Other Events
On December 11, 2013, the Board of Directors of KapStone Paper and Packaging Corporation (the “Company”) declared a two-for-one stock split in the form of a stock dividend (the “Stock Split”) on the Company’s common stock, par value $0.0001 per share. To implement the Stock Split, shares of common stock will be distributed on January 7, 2014 to all shareholders of record as of the close of business on December 23, 2013.
The Company’s press release, dated December 11, 2013, is filed herewith as Exhibit 99.1 and is incorporated herein by reference.
