Item 1.01 Entry Into a Material Definitive Agreement.
This amendment on Form 8-K/A (this Amendment) amends the Current Report on Form 8-K of SuperMedia Inc. that was initially filed with the Securities and Exchange Commission (the SEC) on August 21, 2012 (the Original 8-K). The Original 8-K was filed to report the entry into an Agreement and Plan of Merger, dated as of August 20, 2012 (the Merger Agreement), by and among SuperMedia Inc., a Delaware corporation (SuperMedia), Dex One Corporation, a Delaware corporation (Dex), Newdex, Inc., a Delaware corporation and a direct wholly owned subsidiary of Dex (Newco), and Spruce Acquisition Sub, Inc., a Delaware corporation and a direct wholly owned subsidiary of Newco (Merger Sub). The sole purpose of this Amendment is to file the Merger Agreement and applicable exhibits thereto as an exhibit to the Original 8-K. Except for the foregoing, this Amendment does not amend, modify, or update the disclosures contained in the Original 8-K. No changes are being made to the text of the Original 8-K.
